Presenter's Biography:

Vincent Chan is Partner in the Corporate department of Appleby´s Hong Kong office. He has over 16 years of offshore law experience specializing in IPO/equity and debt capital markets, pre-IPO restructuring & financing, public & private mergers & acquisitions, takeovers & privatizations, private equity investments & venture capital, joint-ventures, corporate reorganisations and general corporate advisory. Clients include Bermuda, British Virgin Islands (BVI) and Cayman Islands companies listed on stock exchanges in Hong Kong, Singapore, Taiwan, New York, NASDAQ and London, as well as private companies, banks, financial institutions, private equity houses and asset management firms.

Vincent was selected as one of the region's most notable offshore lawyers in the Asian Legal Business' Offshore Client Choice List between 2020-23, and ranked in the 2019 Asian Legal Business' "top 40 under 40" list which highlights "outstanding legal professionals in the region". He has also been widely recognised by legal directories, with IFLR 1000 2019-22 noting him as a "Notable Practitioner" and with Legal 500 (Asia Pacific) noting him as "very impressive" and a "key equity capital markets practitioner" who also "handles a significant amount of M&A mandates" and "distinguishes himself in his professionalism, responsiveness and also the commerciality of his advice. He is also a very hands-on partner", with "ability to provide timely and practical Cayman law advice", and "a tremendous asset to have on transactions… very responsive, on-the-ball, with a sharp commercial acumen".

Vincent regularly publishes articles and gives presentations on developments in the areas of mergers & acquisitions, capital markets, preference share financing, trusts and economic substance.

Crystal Au Yeung is a Counsel in the Dispute Resolution department of Appleby's Hong Kong office. She has been admitted in the BVI, Hong Kong (non-practising) and England and Wales. Crystal specialises in cross-border disputes, trust disputes, insolvency & restructuring, enforcement of debts and securities, and advising clients on mitigating litigation risks and corporate governance matters.
 
Objective:

This seminar will discuss some of the issues faced when conducting due diligence on companies incorporated in the Cayman Islands, Bermuda and the British Virgin Islands, as well as exploring and deciding on the best mechanisms for the acquisition, corporate reorganization and privatization of these companies, including a discussion on shareholders' schemes of arrangement, statutory mergers and tender offers & compulsory acquisitions/redemptions. The seminar will also give an overview of creditors' schemes of arrangement and financial restructuring, recent amendments to the BVI Business Companies Act and the Cayman Companies (Amendment) Bill.
