Presenter's Biography:

Mr Johnstone is a regular contributor to thought leadership on the regulation of digital assets and regularly convenes conferences at HKU covering the latest issues in blockchain, digital assets and compliance issues. He is a member of the SFC's Fintech Advisory Group since its formation in 2016. He has undertaken senior management roles regulated by the SFC and The Stock Exchange of Hong Kong, and has been engaged as an expert by Hong Kong's statutory regulators in relation to IPO sponsor duties and making recommendations for reform of the listed market. He has been an influential voice in shaping high profile legal and regulatory matters that have been referenced in Hong Kong's Legislative Council and the Court of Appeal. Syren holds two masters degrees, in science and law, from Oxford and London universities respectively.

Objective:

Significant amounts of capital have been directed toward the development of various types of digital tokens described as cryptocurrencies, utility tokens, security tokens and similar through initial coin offerings and, more recently, initial exchange offerings. Such primary market activity has predictably led to a significant growth in the number and size of participants in the secondary market including cryptoexchanges and other intermediary service providers. The course will consider the issues presented by secondary market activity in digital assets and the concerns and approaches taken by regulators in Hong Kong and internationally.

Outline:

  • Brief overview of technical aspects of digital assets
  • Discussion of regulatory treatment of digital assets to date in HK and internationally
  • Shifting focus from primary to secondary market issues
  • Evolution of secondary market regulation in traditional assets
  • Characteristics of secondary market activity in digital assets
  • Different cryptoexchange models
  • The SFC's November 2018 sandbox
  • Some preliminary conclusions
